El objeto presente de esta investigación es realizar un estudio critico desde el punto de vista societario- mercantil sobre la implementación de mecanismos legales de incentivos económicos en las sociedades de beneficio e interés colectivo en el Ecuador como estrategia de la administración pública con el objetivo de promocionar que los diferentes tipos de empresas mercantiles quieran ser voluntariamente sociedades BIC y esta a su vez, se comprometan en generar prácticas en pro de la sociedad y del medio ambiente. Atendiendo la importancia de este tema la investigación pretende portar el perfeccionamiento del régimen jurídico de estas sociedades ya que las funciones de dar incentivos económicos a estas causarían que más empresas quieran formar parte de estas y a su vez se obligaran al desarrollo sustentable del medio ambiente y a generar buenas prácticas corporativas en conformidad con los fines del estado. En este sentido la investigación se ha encaminado en dos capítulos, el primer capítulo analiza y estudia los orígenes de las sociedades BIC junto con su respectiva naturaleza jurídica, elementos, y las ventajas de estas en el Ecuador, el segundo capítulo se analiza y estudia los mecanismos legales de la administración pública en materia de incentivos y se usara legislación comparada en relación a que clase de incentivos usan estos países para promover a este tipo de sociedades.
The present object of this research is to carry out a critical study from the corporate-commercial point of view on the implementation of legal mechanisms of economic incentives in benefit corporations in Ecuador as a public administration strategy with the objective of promoting that the different types of mercantile companies voluntarily want to be B corps and this, in turn, commit to generating practices in favor of society and the environment. Taking into account the importance of this topic, the research aims to improve the legal regime of these would cause more companies to want to be part of it and these in turn will contribute to the sustainable development of the environment and to generate good corporate practices in accordance with the purposes of the state. In this sense, the research has been directed in two chapters, the first chapter analyzes and studies the origins of the B corps together with their respective legal nature, elements, and the advantages of it in Ecuador, the second chapter analyzes and studies the legal mechanisms of public administration in terms of incentives and comparative legislation will be used in relation to what kind of incentives these countries use to promote this type of society.
