The present text is developed in three parts; the first analyzes the limited companies and limited liability in Ecuador, since its characteristics, in order to establish differences and similarities. Will identify, also the rights of partners and shareholders in relation to the social assemblies, the way to convene and attend to the board or shareholders of the couple. Then performs an approach to Information and Communications Technology to distinguish their characteristics and more important one of its main branches, the telematics media. These resources have several categories, such as synchronous media, asynchronous and those to obtain information. In addition, there are the principles of functional equivalence and legal neutrality. Finally, the first two parts are related to establish the types of virtual meetings, allowed in Ecuador by the Regulation SCV-DNCDN- 14-014. Sets criticism of this Regulation by the reason of violating some principles of computer law. Likewise, using surveys of thirteen companies some of them anonymous and some others of limited liability with its main domicile in the city of Ambato- Ecuador, all be determined the effectiveness of the virtual meetings with it is partners or shareholders made through telematics media.
El presente texto, está desarrollado en tres partes, la primera, analiza las compañías anónimas y de responsabilidad limitada en el Ecuador, desde sus características, para establecer diferencias y semejanzas. Se señalarán, también, los derechos de socios y accionistas en relación a las asambleas sociales, la manera de convocar y de asistir a una junta de socios o accionistas Luego, se realiza una aproximación a las Tecnologías de la información y Comunicación para distinguir sus características y sobre todo una de sus principales subdivisiones, los medios telemáticos. Estos presentan varias categorías, como medios sincrónicos, asincrónicos y de obtención de información. Además, se distinguen los principios de equivalencia funcional y neutralidad jurídica. Finalmente, se relacionan las dos primeras partes para determinar las clases de juntas sociales virtuales, permitidas en el Ecuador por el Reglamento SCVDNCDN- 14-014. Se establecen críticas a este reglamento en razón de violar principios del derecho informático. Así mismo, mediante encuestas realizadas a trece compañías anónimas y de responsabilidad limitada con domicilio principal en la ciudad de Ambato-Ecuador, se determinará la eficacia de las juntas de socios o accionistas realizadas a través de medios telemáticos.
